A multigenerational, Investment Management/Private Funds practice, representing name brand market leaders, fund sponsors, investment advisers, private foundations and others is adding an Associate to their busy and growing team to serve its continually active client base and robust deal flow. The structure and subject matter experience of the group requires the Associate to have 3-4 years of experience in a Big Law or peer firm in a broad based role.
The ideal candidate will have measurable experience of advising private equity firms on the formation and operation of domestic and offshore private funds. The Associate will negotiate side letters; prepare legal opinions; onboard investors before closing; consulting with fund administrators, internal tax team and sponsors’ in-house counsel; Some exposure to drafting formation documents (term sheets, PPMs, IMAs, LPAs, Subscription Agreements); make requisite filings; track each investors’ status; monitor ERISA percentages; hold closings.
Candidates must have excellent academic credentials and a stable work history since graduation, preferably in one firm. Compensation includes flexible salary in the range of $205K-225K plus attainable bonus and a strong employee benefits package.
