Our client firm, a highly sought after corporate practice group engaged in complex corporate M&A deals, is seeking an Associate with 5 to 7 years of substantive transactional experience to join its team. This is a career foundational opportunity for an Associate seeking sustained partner engagement, direct client responsibility, and continued professional growth through solid deal leadership. The firm is intentional about mentoring ascending associates.
The ideal candidate will be involved throughout the transaction lifecycle, with responsibility for drafting and negotiating definitive and ancillary agreements, managing diligence and workflow, coordinating closings, and advising clients on corporate and structural issues as transactions progress. The practice handles a steady volume of middle market and growth oriented transactions, including asset and stock acquisitions, divestitures, restructurings, and related credit agreements and equity and debt financings.
The Associate will be expected to run significant portions of transactions, supervise junior associates and serve as a primary point of contact for clients and counterparties. Experience with venture capital transactions, securities matters, joint ventures, and entity structuring (including LLC operating agreements) is required. Demonstrative experience with commercial contracts, distribution arrangements, and franchising is required as well.
Admission, in good standing, in NY is required. Compensation includes salary ($215K to $255K) plus a liberal bonus package and an excellent benefits package. The practice values attorneys who exercise sound judgment, communicate clearly with both partners and clients, and manage multiple active matters with efficiency and independence. A writing sample will be required post submission.
