Our client, a prominent law firm with a highly regarded Corporate, M&A, and Securities group, is seeking a talented and motivated Corporate Associate with 2-5 years of experience to join their dynamic practice. This is an exceptional opportunity to gain hands-on experience across the full lifecycle of clients’ businesses while working closely with experienced partners. The group advises both innovative companies and sophisticated investment funds, guiding emerging enterprises from formation through major liquidity events, and supporting venture capital and private equity clients on investments, acquisitions, and dispositions.
As part of this team, you will draft and negotiate key transaction documents for mergers, acquisitions, and divestitures on both the buy-side and sell-side. You will represent emerging companies and investors in financings, from seed-stage convertible notes to later-stage priced rounds. You will also serve as outside general counsel to growth companies, advising on governance, commercial agreements, securities compliance, and equity compensation. Associates play a critical role in all phases of transactions—from structuring and due diligence to negotiation and closing—developing the skills to become trusted advisors.
The ideal candidate will bring 2-5 years of substantive corporate practice experience from a reputable law firm, with direct exposure to M&A, venture capital, private equity, and general corporate law. A J.D. from an ABA-accredited law school with a strong academic record, admission to the New York Bar, and superior drafting, organization, and communication skills are required. Compensation is highly competitive, with a base salary in the range of $160K–$190K, plus bonus eligibility and a comprehensive benefits package.
